TERMS AND CONDITIONS

BY ACCEPTING THESE TERMS AND CONDITIONS OF USE EITHER BY CLICKING A BOX INDICATING YOUR ACCEPTANCE, BY CLICKING THE ACCEPT BUTTON, OR BY EXECUTING AN ORDER FORM THAT REFERENCES THESE TERMS, YOU REPRESENT THAT YOU AGREE WITH THESE TERMS. WE MAY CHANGE THESE TERMS ONLY IN ACCORDANCE WITH SECTION 20, AND WILL NOTIFY YOU DIRECTLY BEFORE ANY CHANGE TAKES EFFECT.

1. DEFINITIONS

1.1 "Cinch", "We," "Us" or "Our" means Cinch Financial Pte. Ltd. and Our controlled affiliates (as applicable).

1.2 “Your Information” means any data and information, which may include personal information, that You submit to Cinch in the course of obtaining, accessing, or using the Services or the Products, or otherwise collected by or on behalf of Cinch from or about You. Collection and use of Your Information is governed by the terms set forth in the Privacy Policy. “Privacy Policy” means Cinch’s privacy policy available athttps://cinch.sg/privacy-policy which may be updated by Cinch in its sole discretion from time to time.

1.3 “Device Management Information” means hardware and device identification (such as IMEI, serial number, model name), operating system, SIM card/mobile number installed and device status information (including enrolment, lock and connection state), the approximate location of the Product where the Security Features on that Product support it, and, where the Security Features on that Product support it, the list of applications installed on the Product, in each case collected and used only for the purposes of security, recovery of the Product and enforcement of these Terms.

1.4 “Security Features” means those technical features installed or embedded in a Product that enable payment notifications, or detect or prevent fraud, theft, loss, financial default (e.g. missed, late or overdue payments), malicious or unauthorised use, and/or any other breach by a user of a Product (collectively, “Unauthorised Use”) through enabling a wide range of device restrictions, which may include, but are not limited to, device lock-down options, blocking unauthorised firmware or binary editing, secure device identifier technology, network bypass-proof restrictions, restricting malicious VPN/proxy usage, and other features that prevent the alteration, destruction, inhibition, damage, interruption, interference with, or that otherwise affect the operation of, the Services or Products or another’s computer or mobile device.

1.5 “Fee/s” means the total amount due each month of an active Rental Period, for each Product and is inclusive of GST but exclusive of shipping costs.

1.5A “Charges” means all amounts payable by You under these Terms, including Fees, Tier Fees, Service Fees, Damage Charges, Replacement Value, any Upfront Payment, the Early Termination Fee, late payment fees and interest, and any other fee, cost or amount stated in these Terms or in Your Order Confirmation. Fees are inclusive of GST. Other Charges are stated as the amount payable; GST is added only where these Terms or Your Order Confirmation state that it applies.

1.6 “Guarantor” means an individual who has executed a Guarantee in favour of Cinch in respect of Your financial obligations under these Terms.

1.6A “Guarantee” means the written guarantee, in the form provided by Cinch, executed by the Guarantor directly with Cinch in accordance with Section 6.7.

1.7 “Order Confirmation” means the formal email confirmation of Your order to Cinch, which sets out the Product, the Rental Period, the applicable Fees, the Tier (if any) and the Tier Fee, the price band that applies to the Product under Schedule 1, the maximum Replacement Value and how it reduces over the Rental Period, the Pay-as-You-go rate that will apply under Section 5.6.1, any Upfront Payment and any other Charges specific to Your order. The Order Confirmation records the terms of Your order; the contract for the rental is formed when Cinch accepts Your order under Section 5.3.

1.8 “Product/s” means the items offered by Cinch to rent to You, as made available on the Site and updated from time to time.

1.9 “Rental Period” means the period of time You have selected to rent a specific Product for, as stated in Your Order Confirmation. The Rental Period begins upon the receipt of the Product(s) by You and continues until it ends or is terminated in accordance with these Terms. Non-payment of Fees does not shorten the Rental Period, and Fees continue to accrue until the Rental Period ends. For the avoidance of doubt, the Rental Period continues without suspension notwithstanding any period of unavailability due to inspection, servicing, repair, refurbishment, replacement, or transit as described in Section 6.1.1.

1.10 "Service" means this Site and any and all content, software, data, information and materials contained therein, the transactions completed thereon, and any services Cinch provides to you for your rental of the Products.

1.11 “Site” meanshttps://cinch.sg/ and any subdomain of it.

1.12 "Third Party Content" means certain third-party content, tools, features, analysis, materials, sites, services or advertisements which Cinch makes available on or through this Service, or to which Cinch links on any Sites. Cinch is not responsible for any Third Party Content.

1.13 “Terms” means, collectively, these terms and conditions, the Privacy Policy and any additional policies and terms as may be made available by us to You, which may be updated by Cinch from time to time.

1.14 "You" or "Your" means the individual who accesses or uses the Services.

1.15 “User Account” means the personal account You registered on the Site through which You may place an offer for a Product rental.

1.16 "Mobile Device Management (MDM)" means software installed on the Products that allows Cinch, as the licence owner and primary administrator of such software, to remotely manage and control certain device functions to protect against fraud, theft, and other Unauthorised Use, and enables Cinch to configure, deploy, and manage devices and perform actions including, but not limited to:

1. Remotely lock or unlock device

2. Erase data and settings

3. Install and remove applications and data

4. Access device information and status

5. Enforce security policies and restrictions

The capabilities available depend on the Security Features installed on the particular Product.

1.17 "Authorised Agent" means any third-party entity or individual authorised by Cinch to act on its behalf for the purposes of recovering Products or otherwise enforcing against any unauthorised dealings of the Products, including but not limited to mobile shops and electronics stores that have entered into an agreement with Cinch for the aforementioned purposes.

1.18 "Administrator" means Cinch acting in the capacity of managing, monitoring, and controlling the Mobile Device Management (MDM) software on the Products. This role includes actions taken to provide value-added device management services including but not limited to:

(i) theft and unauthorised access protection;

(ii) remote device management and troubleshooting for customer support;

(iii) malware and cyber-security protection;

(iv) application, account, and device policy management;

(v) personalised services (e.g. elderly care).

1.19 “Bundle” means an offer made available by Cinch from time to time under which You rent two (2) or more Products together as a package (each, a “Bundled Product”).

1.20 “Bundled Product(s)” means each Product that forms part of a Bundle.

1.21 “Bundle Fees” means the total Fees payable for a Bundle (being the aggregate of the Fees for each Bundled Product, as may be discounted or adjusted as part of the Bundle), as set out in the applicable Order Confirmation and/or within Your User Account. For the avoidance of doubt, each Bundled Product remains a “Product” and may have its own Fees and Rental Period, even if billed together.

1.22 “Bundle Order” means an order submitted by You for a Bundle via the Site / User Account, which (once accepted by Cinch) is confirmed by an Order Confirmation and forms part of the binding contract between You and Cinch. 1.23 “Invoice” means any invoice, billing statement, or payment request issued by or on behalf of Cinch (including within Your User Account) in respect of Fees and/or Bundle Fees.

1.24 “Tier” means a damage fee waiver tier described in Schedule 1 that applies to a Product, as stated in Your Order Confirmation or as added in accordance with Schedule 1.

1.25 “Tier Fee” means the monthly fee payable for a Tier, as stated in Your Order Confirmation.

1.26 “Service Fee” means the fee payable for a repair, swap or replacement service request under Schedule 1, as stated in Schedule 1.

1.27 “Damage Charge” means the amount payable by You under Section 9.1 for damage to a Product, before any waiver under Schedule 1.

1.28 “Replacement Value” means, for a Product, the amount calculated by Cinch at the relevant date as the cost to Cinch of acquiring the Product, together with the financing, handling and administration costs attributable to it, less the Fees received by Cinch for that Product, but (a) never more than the recommended retail price of the Product at the date of Your Order Confirmation or, where Your Order Confirmation states a lower maximum Replacement Value for the month of the Rental Period in which the relevant date falls, that lower amount, and (b) subject to (a), never less than the price at which Cinch would then be willing to sell You the Product under Section 5.8. If Your Order Confirmation does not state a maximum Replacement Value, the maximum is the recommended retail price of the Product at the date of Your Order Confirmation. Where Your Order Confirmation states a maximum Replacement Value that reduces over the Rental Period, it reduces as stated there. Cinch will notify You of the Replacement Value payable before charging it. The Replacement Value applies where the Product is beyond economic repair under Section 9.1(ii), where it is lost or stolen under Section 9.5, and where it is treated as not returned under Section 5.12, including after automatic termination under Section 5.9.2. It does not apply to a purchase under Section 5.8. The Replacement Value is not a price for the Product and its payment does not of itself pass title to You; Section 5.4 applies.

1.29 “Upfront Payment” means an amount paid by You at the start of a Fixed Subscription as a condition of Cinch’s acceptance of Your order, as stated in Your Order Confirmation and applied in accordance with Section 6.9.

1.30 “Legacy Waiver” means the damage fee waiver described in Part D of Schedule 1, which applies only to Products under an Order Confirmation issued before 1 October 2026.

1.31 “Working Day” means a day other than a Saturday, Sunday or public holiday in Singapore.

2. TERMS OF USE

2.1 Terms. All terms and conditions on this Site, including the Privacy Policy, are incorporated into these Terms by reference. These Terms set forth the entire, final and exclusive agreement between Cinch and You with respect to Your use of, and access to, the Service and Product(s), and supersede all previous oral and written terms, representations, or understandings concerning Your use of, and access to, this Service. Your use of the Site, including the creation of a User Account, constitutes acceptance of the Terms. Cinch will not provide any services or provide any benefit to You to the extent that their provisioning would violate applicable law or expose Cinch to any applicable economic sanctions, laws or regulations.

2.2 User Account; Set Up. To use the Service, You must register for and maintain an active User Account, which requires a valid debit or credit card, as well as other requested information. The information you provide must be true, accurate, complete and updated as needed. Each User Account is personal to the registered individual only and You are responsible for all activity that occurs through it. The parties agree that these Terms may be electronically signed. Electronic signatures or symbols will be the same as handwritten signatures for the purposes of validity, enforceability and admissibility.

2.3 Your and Your Guarantor’s Information. As part of Your use of the Services (e.g. to place a rental order), You will be required to submit certain information, such as your personal information, income information, and payment information. If a Guarantor is required by Cinch or offered by You, You may provide the Guarantor’s name and contact details only with that person’s consent. Cinch will contact the Guarantor directly to obtain the Guarantee under Section 6.7, and no guarantee arises from information entered by You in Your User Account. The collection and use of any information submitted in connection with the Services, including for marketing and other communications, is subject to the Privacy Policy. As specified therein, We have the right to provide information about You or Your various account details (like billing, account content, or use records and related information) if required by law (which may include mandatory data sharing with governments), to protect Our rights or business, to share with our business partners as further described in the Privacy Policy, and/or as otherwise permitted under the Privacy Policy.

2.4. Consent to Communications; Opt-out. By providing your phone number, you consent to receiving calls, texts, and similar messages from Cinch or its suppliers or service providers. Standard voice and data rates may apply and Cinch is not responsible for any charges to you for these messages. You may opt out of receiving these messages at any time by sending us an email or a message with a request to opt out.

2.5 Consent to Device Management. As part of the rental plans made available by Cinch to you for the rental of the Products, you acknowledge and agree that Cinch (and/or its Third Party Partners) has the right to install, embed, or use certain Security Features, which may include Mobile Device Management (MDM) software, on the Products. You hereby appoint Cinch as the Administrator of Mobile Device Management software on the Products, granting Cinch the authority to manage, monitor, and control these features to protect against Unauthorised Use and provide value-added device management services as described in Section 1.18.

As part of Your use of the Products and our provision of the Services, you agree to Cinch’s (including its Third Party Partners) right to utilise such Security Features to collect and process technical, usage, and device management related information about the Products, which may include Device Management Information. For any Device Management Information reported through your Product, Cinch (including its Third Party Partners) may disable, suspend, lock down, remotely control, or take other measures as it deems necessary with respect to the Product if Cinch (including its Third Party Partners) reasonably suspects any Unauthorised Use with respect to the Product. Unless otherwise expressly permitted by Us in writing, You shall not:

(i) access or use any code, software, hardware or programs that block the functionality of Security Features;

(ii) attempt to disable, reverse engineer, disassemble, redistribute, modify, copy or circumvent any technological mechanisms or measures intended to prevent, limit or control use of any Products (including in order to gain access to any Security Features), including the MDM software installed on the Products.

3. RENTAL PROGRAMME; THIRD PARTY PARTNERS.

3.1 Rental Programme. Cinch may offer various rental plans for You to rent various Products made available on its Site (or its partners’ websites where these Terms are referenced) from time to time (the “Rental Programme”).

3.2 Eligibility to Participate in the Rental Programme. Eligible applicants for the Rental Programme are those who meet the following qualifications, subject to Cinch’s sole discretion:

a. Must be at least 18 years of age at the date of order submission;

b. Must have the Original ID card or any other form of government-issued identification for “Know Your Customer” and/or other identification verification purposes;

c. Must have a valid email address;

d. Must have an active telephone number to register a User Account for the Rental Programme;

e. If indicated so during the ordering process, each applicant is limited to a maximum number of applications for the Rental Programme at any one time. Restrictions will apply until the applicant’s existing Rental Periods have ended and all Charges have been paid, unless revised in Cinch’s sole discretion.

3.3 Third Party Terms. You acknowledge and agree that while the Rental Programme is carried out by Cinch, the Products are provided by third party manufacturers and suppliers with whom Cinch has a collaboration relationship (e.g. Samsung) and the financing facilities are provided by financial partner(s) of Cinch, and therefore the Rental Programme and your right to the Products are subject to additional terms, conditions, and restrictions imposed by such third party manufacturers, suppliers, and partners (“Third Party Partners”) and the availability of the Products under the Rental Programme is subject to limitations imposed by the Third Party Partners.

Cinch does not make any representations or warranties with respect to any Third Party Partners nor their products or services and shall not be responsible for any services or products offered by any Third Party Partners, nor their acts or omissions, nor the availability or operation of their services or products, except as expressly warranted or committed by Cinch to You in writing. You are solely responsible for complying with any applicable terms or conditions imposed by the Third Party Partners. Any exchange of data or other interaction between You and any Third Party Partner is solely between You and such Third Party Partner and is governed by such Third Party Partner’s terms and conditions.

3.4 Consent for Communications. By enrolling in the Rental Programme, You hereby consent and give permission to be contacted by Cinch, the Third Party Partners, and its and their affiliates, via email, telephone, or SMS both during the Rental Programme and afterwards in connection with the operation and management of the Rental Programme, unless and until You have opted out from such communications pursuant to the Privacy Policy and the applicable privacy policy from the Third Party Partners.

3.5 Products supplied under a separate agreement. Certain Products are supplied by Cinch under a separate written agreement, including under any hire-purchase or lease-to-own arrangement, and not under these Terms. Where a separate agreement applies to a Product, these Terms apply to that Product only to the extent that the separate agreement says so, and Section 7.7 and Schedule 1 do not apply to it. An order for such a Product, wherever it is placed, is made under the separate agreement and not under these Terms.

4. OWNERSHIP; LICENCES

4.1 Cinch Intellectual Property Rights. As between Cinch and You, You own and retain all Your right, title and interest in Your Information that You submit through this Service or otherwise provided to Cinch, subject to a licence granted by You to Cinch to use, disclose, process, and otherwise exploit Your Information pursuant to the Terms and the Privacy Policy. Cinch owns and reserves all right, title and interest in and to the Service, including all intellectual property rights subsisting therein and related thereto. We grant no rights to You hereunder other than as expressly set forth below. This Service and all materials and information published thereon is protected by Singapore and foreign copyright and other intellectual property laws. All Our trademarks, brand names and service marks are the property of Cinch. Cinch’s trademarks and brand names may not be used in any form without the prior written consent of Cinch, and any use shall be subject to Cinch’s then-current policies and requirements. All other trademarks, service marks, logos, designs and brand names not owned by Cinch that appear on this Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Cinch. Using Our Services does not give You ownership of any intellectual property rights in Our Services or any content You access, and except for the limited licence granted to You, all rights therein (including all intellectual property) belong to Us or Our licensors. You may not use content from Our Services without Our express prior permission or as otherwise permitted by law. You agree to protect the proprietary rights of Cinch and to comply with all reasonable written requests made by Cinch or its third party licensors to protect their and others’ rights in the Site and materials and content made available on or through the Service.

4.2 Limited Licence to use Services and Products.

For individuals: Subject to these Terms (including your timely payment of all applicable fees), We grant You a limited term, non-exclusive, non-sublicensable, revocable, non-transferable (except as provided for herein) licence to access and use the Service and the Product pursuant to the terms and conditions of the Rental Programme. Such rights are for your personal, non-commercial use only. Any rights not expressly granted herein are reserved by us and our licensors.

For corporate entities: Subject to these Terms (including insurance requirements in Section 8), We grant You a limited term, non-exclusive, non-sublicensable, revocable licence to access and use the Service and the Product pursuant to the terms and conditions of the Rental Programme. Any rights not expressly granted herein are reserved by Us and Our licensors.

You acknowledge that Products rented through Cinch may have Security Features, including MDM software installed, and you consent to Cinch’s use of Security Features including MDM as described in these Terms and you agree that you may be subject to additional terms, conditions, and restrictions imposed by Cinch’s Third Party Providers that provide the applicable Security Features and MDM software.

4.3 Third-Party Content. Third Party Content is not maintained or controlled by Cinch, and as a matter of policy, Cinch does not independently verify, pre-screen or monitor any such Third-Party Content. We are not responsible for the availability, security, content, completeness, adequacy, utility or accuracy of such Third Party Content. Certain Third-Party Content is subject to additional specific terms and conditions which can be found in applicable areas of the Site and/or these Terms. You acknowledge and agree that Your use of such Third-Party Content is subject to all these terms. Service features that interoperate with Third Party Content depend on the continuing availability of such third-party services, and if those relevant third-party providers cease to make the services or materials available on reasonable terms for the Services, We may cease providing such interoperability features. Third-Party Content is controlled by the associated third-party provider, who may have different terms of use and privacy policies. It is your responsibility to verify Your compliance with, and acceptance of, those terms.

4.4 Ownership of Products. You acknowledge that all Products rented through Cinch remain the property of Cinch throughout the Rental Period. Title to each rented Product remains with Cinch unless it is sold to You under Section 5.8. You have no right to sell, transfer, or otherwise dispose of the Product, except as expressly permitted by Cinch in writing. If You sell, pawn, transfer or otherwise dispose of a Product, or attempt to do so: (a) Cinch may terminate the Rental Period under Section 5.9.2(x); (b) the Product is treated as not returned and the Replacement Value becomes payable immediately under Section 5.12; (c) Cinch may exercise its rights under Section 15, including restricting the Product and referring the account for recovery under Section 6.5; and (d) Cinch may report the matter to the police and pursue any other remedy available to it.

5. RENTALS; PAYMENT OBLIGATIONS

5.1 Order Submission. Cinch makes a range of Products from its Third Party Partners available for rent to You through the Site. These can only be rented through an active User Account. An order containing selected Product and Rental Period is submitted to Cinch when “place order” is affirmatively selected by You. This offer, which displays the associated Fees, is accepted by Cinch only as provided in Section 5.3.

5.2 DISCLAIMER. PRODUCTS DISPLAYED ON THE SITE MAY NOT BE AVAILABLE AT ALL TIMES AND MAY BE SUBSTITUTED OR DISCONTINUED AT ANY TIME. Cinch reserves the right to change its prices for future subscriptions as part of the Rental Programme and/or Our billing methods, for future orders only; a price change does not affect the Fees stated in an existing Order Confirmation.

5.3 Order Acceptance Policy. Cinch accepts Your order, and a binding contract for the rental of the Product is formed, when Cinch takes the first payment for Your order from a payment method in Your User Account, which will be before the Product is dispatched. Your receipt of an Order Confirmation before that time does not signify Our acceptance of Your order, nor does it constitute confirmation of an offer from Us. Cinch may decline Your order at any time before accepting it, for any reason. Cinch further reserves the right any time after receipt of Your order, without prior notice to You, to supply less than the quantity You ordered of any item. As part of the order approval process, We may require additional verifications or information before accepting any order. After acceptance and before delivery, Cinch may cancel Your order if the Product cannot be obtained from Cinch’s suppliers, or if Cinch is not satisfied with the verification of Your identity or information or suspects fraud. Notwithstanding the foregoing, You agree that, if We cancel all or a portion of Your rental, prior to Your receipt of the Product, Your sole and exclusive remedy is a refund to Your payment method of all amounts You have paid for the cancelled portion or the quantity not provided, which Cinch will make within seven (7) days. A cancellation or change of an order done by Cinch will be communicated via email, phone call, WhatsApp, or Your User Account.

5.4 Title. Title to each rented Product remains with Us during the Rental Period. (a) Purchase. If You purchase the rented Product under Section 5.8, title to the rented Product will pass to You when You have paid the purchase price in full. (b) Product not returned. Payment of the Replacement Value or any other Charge, other than on a purchase under Section 5.8, does not pass title to You. Where You have paid the Replacement Value for a Product that has not been returned, Cinch may at its election, notified to You in writing within thirty (30) days of Your payment, either transfer title to that Product to You as it then is or retain title and, if the Product is later recovered by Cinch, refund the Replacement Value less the cost of recovery and any Charges then outstanding, within thirty (30) days of recovery. Until Cinch notifies You of its election, You must not sell or otherwise dispose of the Product.

5.5 Dispatch; Delivery. Subject to Your timely payment of applicable fees and after our receipt of the Product from our Third Party Partner(s), the Product will be dispatched to You. You are not charged for the time between placement of the order and receipt of the Product; Your Rental Period begins from the date of Your receipt of the Product. Each month of Your Rental Period is paid in advance, chargeable on the same recurring date each month during the Rental Period, following Your receipt of Your Product. For the sake of clarity, the risk of loss passes to You upon Our delivery of the item to the carrier (both for the initial shipment and for any return shipments from Us to You). For returns from You to Us, risk of loss passes to Us upon our receipt of the rented Product from the carrier.

5.6 Rental Periods. You may select one of two Rental Period options:

5.6.1 Fixed Subscription: The rental is for a specified number of months. Either party may give written notice, during the last thirty (30) days of the term, that the Rental Period will end at the end of the term, in which case You must return the Product in accordance with Section 5.11 by the later of the last day of the term and five (5) Working Days after the notice. If neither party gives such notice, the Rental Period will automatically be converted to a Pay-as-You-go Rental Period under Section 5.6.2 at the Pay-as-You-go rate stated in Your Order Confirmation or, if none is stated, at the same monthly rate as Your Fixed Subscription, and either party may end it on thirty (30) days’ notice under Section 5.6.2. Any renewal or conversion is subject to the version of these Terms in effect at that time, as notified to You under Section 20. Renewal of Fixed Subscription: If You wish to renew the Fixed Subscription, You can submit such an offer to renew through Your User Account. Upon successful completion of the renewal request, You will receive an email from Cinch confirming the renewal. The new Rental Period starts with the next due monthly payment upon your receipt of an email confirming the renewal of the Fixed Subscription.

5.6.2 Pay-as-You-go: The Pay-as-You-go Rental Period is for an indefinite number of months, until either party terminates the contract with thirty days’ prior notice, for whatever reason. Termination takes effect on the next monthly billing date falling at least thirty (30) days after the notice is given, and You must return the Product in accordance with Section 5.11 by that date. Renewal of Pay-as-You-go: Renewals are automatic until cancellation is made by either party.

5.7 Vouchers, Discounts and Other Promotions. From time to time Cinch may offer various vouchers, discounts, loyalty programmes or other promotions (including Bundles). Your use of any such voucher, discount, or promotion may be subject to additional restrictions which may be communicated to You at checkout, in Your User Account and/or in the applicable Order Confirmation.

5.8 Converting a Rental to a Purchase. During Your Rental Period, You may ask Cinch to sell You the Product (a “Purchase Request”). Cinch will then quote You a purchase price, being the price at which Cinch is willing to sell You the Product at the date of Your Purchase Request; the quote is valid for twenty-four (24) hours. Any reduction of the quoted price is made only under a loyalty programme published by Cinch from time to time. The purchase price is a gross price including any added taxes as applicable at the time of the quote. If You accept the quote and pay the purchase price within that period, the Product is sold to You under a separate contract of sale on the terms in Schedule 2, title passes under Section 5.4 and the Rental Period for that Product ends. For business or corporate customers, a Purchase Request will be considered by Cinch on a case-by-case basis. Please note that possible vouchers, discount codes, loyalty programmes or similar credits or reductions are only deducted from monthly rents and not from the purchase price, other than under the loyalty programme referred to above. For the avoidance of doubt, You are not entitled to return the Product following your purchase under this Section 5.8, as this sale is final.

5.9 Termination of Rental Period.

5.9.1 By You. If You are not fully satisfied with a rental from the Site, You may request cancellation within three (3) Working Days of delivery of the Product. Upon such request, You must schedule the return of the Product in its original packaging within five (5) Working Days of delivery in order to be eligible for a full refund. The Product must be returned in the condition in which You received it, Cinch will assess its condition on return, and will invoice You separately for the cost of repairing any damage beyond normal wear and tear. For Products returned without original packaging or with damaged packaging, a fee of SGD 50 will be charged to your Debit/Credit card. For the avoidance of doubt, all purchases made under Section 5.8 are final, non-returnable and non-refundable.

5.9.2 By Cinch. Cinch may terminate Your Rental Period by written notice if any Charge remains unpaid fourteen (14) days after Cinch has notified You that it is overdue, or if any of the events listed below occurs. In addition, Your Rental Period terminates automatically, without notice, on the date on which any Charge has remained unpaid for ninety (90) days after its due date; Cinch will confirm the termination to You in writing, and Sections 5.10 to 5.12, 9 and 15 then apply. This applies to every Rental Period, whether a Fixed Subscription or Pay-as-You-go. If You have rented several Products and You are delinquent or have breached the Terms for one Product, Cinch reserves the right to unilaterally terminate the remaining Rental Period. The events on which Cinch may terminate by written notice are:

(i) wilfully damaging a Product, including tampering or modifying the Product in any way;

(ii) a breach of these Terms; transferring the Product to an unaffiliated third party; repairing or attempting to repair the Product;

(iii) using a rented Product to commit a criminal offence;

(iv) Your failure to pay any Charge within the period stated above;

(v) You raise a chargeback or payment dispute with Your bank or card issuer in respect of a Charge that was properly due, other than for a genuine billing error;

(vi) You remove, disable, interfere with or circumvent, or attempt to remove, disable, interfere with or circumvent, the Security Features or MDM software;

(vii) any information You gave Cinch at application or in Your User Account was false or misleading;

(viii) a Guarantor fails to perform the Guarantee, or the holder of a stored payment method withdraws their authorisation and You do not provide a valid replacement payment method in Your own name within seven (7) days under Section 6.1;

(ix) You become bankrupt or enter into any arrangement with Your creditors;

(x) You sell, pawn or otherwise dispose of the Product or any other Product rented from Cinch, or attempt to do so; or

(xi) You fail to return a Product when required to do so under these Terms.

Termination by Cinch on notice takes effect on the date stated in the notice; automatic termination takes effect on the ninetieth (90th) day. Termination does not discharge any Charges accrued before termination, or Your obligations under Sections 5.10 to 5.12 and 9.

5.10 Cancellation Process. You may terminate Your Rental Period by reaching out to Cinch. Termination by You takes effect on the date the Product is received by Cinch or, if later, the date determined under Section 5.6. Termination by Cinch takes effect on the date stated in Cinch’s notice under Section 5.9.2 or, on automatic termination under that Section, on the ninetieth (90th) day after the due date of the unpaid Charge. If You terminate Your Fixed Subscription before the last month of the Fixed Subscription You will be responsible for, and Your credit card or third-party payment account may be charged for, the payment of the cancellation fee of SGD 250 (the “Early Termination Fee”). Where the Fixed Subscription relates to a Bundle, the Early Termination Fee is SGD 250 per Bundle (regardless of the number of Bundled Product(s) in that Bundle). Where the Fixed Subscription relates to a single Product (i.e. not a Bundle), the Early Termination Fee is SGD 250 per single-Product subscription terminated. If You terminate Your Fixed Subscription during the last month of Your Fixed Subscription, You will not be responsible for the payment of the cancellation fee of SGD 250. When You terminate Your Fixed Subscription, You are responsible for returning the Product (or, where applicable, each Bundled Product) and all accessories within five (5) Working Days, unless otherwise agreed upon in writing by Cinch. If You do not return the Product (or, where applicable, any Bundled Product) within five (5) Working Days after termination takes effect, Fees continue to accrue at the Pay-as-You-go rate under Section 5.6.1 until the earlier of the date Cinch receives the Product and the date falling thirty (30) days after termination took effect. If Cinch has not received the Product by that date, the Product is treated as not returned and Section 5.12 applies, without prejudice to Cinch’s other rights under these Terms. If the Product is damaged, lost or stolen at termination, Section 9 applies in addition. If Cinch terminates your Rental Period, You are obliged to return the Products (or, where applicable, any Bundled Product), including all accessories, to Cinch within five (5) Working Days. If Cinch has charged Your payment method prior to either party’s cancellation, We will issue a credit to Your User Account in the amount of the charge.

5.10.1 Bundles (No Partial Termination; Fees Continue Until All Returned). Where You have rented two (2) or more Products as a Bundle, You may only terminate the Rental Period for the Bundle once Cinch has received all Bundled Product(s) and all applicable accessories in accordance with Sections 5.10 and 5.11. If You request termination of a Bundle but fail to return all Bundled Product(s), then the termination will not take effect and Fees will continue to accrue for the period stated in Section 5.10, after which each Bundled Product not received by Cinch is treated as not returned and Section 5.12 applies to it, without prejudice to Cinch’s other rights and remedies under these Terms.

5.10.2 No Mid-Contract Bundle Modifications. During the Rental Period, You may not swap, add, remove, or otherwise modify any Bundled Product(s) within a Bundle without terminating the entire Bundle in accordance with Section 5.10 and entering into a new rental agreement.

5.11 Return Process. It is Your responsibility to return the Product in the condition in which You received it, including the original packaging and accessories of the Product, subject to Sections 7.5 and 9 below; in particular, please remove password protection, Your personal account (if linked) or any other impediments that exclude or impair Cinch's access. If a Product is returned without the original packaging or accessories, we will charge you a repackaging fee of SGD 50. In the case of products that are able to be restored to factory settings without unlocking, such as Apple products, if You do not restore Your Product to factory settings prior to returning it to us, we will charge You a reset fee of SGD 50. For Bundles, the obligations in this Section 5.11 apply to each Bundled Product, including returning each Bundled Product in the condition received together with its original packaging and applicable accessories. If the Product cannot be restored to factory settings by us, and needs Your personal login information, Fees will continue to accrue at the Pay-as-You-go rate under Section 5.6.1 until the issue is resolved or, if earlier, thirty (30) days after Cinch first notifies You of the issue, after which the Product is treated as not returned and Section 5.12 applies. Our customer service team will contact You, and arrange for a delivery and pickup to allow you to reset the device.

Failure to return the Products may result in legal steps being taken against You to recover the Products or compensate Us for the loss of or damage to the Products. These steps may include:

(i) Reporting to third party credit reference agencies which could adversely affect your credit records, which may make it more difficult or more expensive to obtain credit in the future, and/or

(ii) Taking legal action through courts and the appointment of representatives to collect any sums awarded to us. You're fully responsible for any fees paid or payable by us to third party service providers (e.g. debt collection agency) due to your failure to comply with these requirements on product return.

5.12 Products Not Returned; Replacement Value. Where these Terms provide that a Product is treated as not returned, You must pay Cinch the Replacement Value of that Product within seven (7) days of Cinch’s demand, together with any Charges then outstanding. Cinch may charge the Replacement Value to any payment method authorised under Section 6.1, refer it to a collections agency under Section 6.5, which applies to the costs of recovery, and exercise its remedies under Section 15. Section 5.4 applies to title in the Product. If You sell, pawn or otherwise dispose of a Product, it is treated as not returned from that date and the Replacement Value becomes payable immediately, without waiting for any return period to expire.

5.13 Death or Incapacity. If You die or lose capacity, Your personal representative may end the Rental Period by written notice without any Early Termination Fee, provided the Product is returned within thirty (30) days of the notice. Charges accrued to the date of return remain payable. Cinch may, at its discretion, apply this Section 5.13 to other exceptional circumstances notified to it, including imprisonment, permanent departure from Singapore and serious financial hardship.

6. PAYMENTS

6.1 Process. All payments for rented Products must be made by debit or credit card or such other payment methods as may be introduced from time to time, through Your User Account. We may put a temporary hold on Your debit/credit card account to verify Your payment information is still valid and/or to verify Your debit/credit card has the necessary funds to cover the Fees. Pre-authorisation is not a charge to Your account, it is a hold on those funds. You should contact Your bank or card issuer if You have questions about when a pre-authorisation amount will be removed from Your statement. By submitting billing information to Us, You authorise Cinch and Our payment processors to charge any payment method stored in Your User Account, in the order You have nominated or, if none, in the order Cinch selects, for any Charges when due, and to re-present a payment that has failed. You will be asked to confirm this authorisation each time You add a payment method to Your User Account. Before charging a payment method other than the one You have nominated as primary, Cinch will notify You that the primary payment failed and that another stored payment method may be charged. A payment method in the name of a person other than You may be stored in Your User Account only where that person is a Guarantor who has authorised its use in the Guarantee. If the holder of any stored payment method withdraws their authorisation, You must provide a valid payment method in Your own name within seven (7) days, failing which Cinch may terminate under Section 5.9.2. For each Product rental made on the Site, You agree to pay the price applicable (including any sales taxes, surcharges and any delivery fees for the delivery service You select, if any) for the duration of Your Rental Period, as of the date of the Order Confirmation. Fees will be charged to a payment method in Your User Account. You will be responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services and the Products, provided that We may, in Our sole discretion, do any of the foregoing on your behalf or for Us as We see fit. We will automatically charge and withhold the applicable taxes as required by law. All payments to Us are made through third-party payment processors. A payment made other than through Your User Account, including a transfer from another account or through a channel outside Cinch, is discouraged and may take additional time to identify. Cinch will treat such a payment as received when it has been matched to Your User Account. Where You show that the payment left Your account by the due date and provide the details needed to identify it, any late payment fee charged for that period will be waived or refunded and the periods in Section 15.1 do not run for the time taken to match it; automated payment reminders may continue to be sent until the payment is matched.

6.1.1 Fees will continue during repairs with no pause or waiver, and there is no entitlement to a loaner device. For the avoidance of doubt, Fees remain payable for the duration of the Rental Period and will not be paused, suspended, reduced, credited, refunded, or waived due to any period in which a Product is being assessed, diagnosed, inspected, serviced, repaired, refurbished, replaced, or is in transit to/from Us or any third-party service provider, or is otherwise temporarily unavailable to You in connection with any of the foregoing (including delays arising from parts availability, logistics, courier handling, scheduling, troubleshooting or administrative processing). You are not entitled to any set-off or credit in respect of such periods of temporary unavailability.

We do not provide loaner devices and have no obligation to do so. If, in Our sole discretion, We make available any temporary, substitute, replacement, or loan device (whether free of charge or otherwise), this is provided as a convenience only and does not affect Your obligation to pay Fees in full and on time, and does not give rise to any entitlement to any pause, waiver, set-off, or credit. Any exception must be expressly agreed by Us in writing, and nothing in these Terms limits any rights or remedies that cannot be excluded under applicable law. A swap or replacement Product provided under Schedule 1 is a substituted Product under the same Rental Period and is not a loan device.

6.2 Declined Payment. If the payment processing fails or the payment is declined for any reason, and You do not update Your information, You authorise Us to continue billing Your payment method continuously pursuant to the predetermined parameters set by the applicable payment processor until processed. Cinch may charge any other payment method stored in Your User Account in accordance with the authorisation in Section 6.1. For the first payment of any Rental Period, if Your payment is declined, Your order will be automatically cancelled, and You should submit another offer using a valid payment method. If Cinch does not receive payment, You agree to pay all amounts due upon demand by Cinch or its agents and You will remain liable for all such uncollected amounts and all costs incurred in connection with the collection of these amounts, including, without limitation, bank overdraft fees, reasonable legal fees, and arbitration or court costs.

6.2.1 Chargebacks. If You believe a Charge is wrong, You must contact Cinch under Section 6.6 before disputing it with Your bank or card issuer. A chargeback or payment dispute raised in respect of a Charge that was properly due, other than for a genuine billing error, is a breach of these Terms, and Cinch may suspend the Service, terminate under Section 5.9.2 and recover from You the amount charged back together with any fees Cinch incurs. Cinch will not restrict a Product solely because a chargeback has been raised; Section 15 applies only where a Charge remains unpaid after notice.

6.3 Late Payment Fee. If You fail to pay the Fees for the Product by the relevant due date (i.e. same recurring date each month during the Rental Period following the receipt of Your Product), You will be charged a late payment fee of SGD 15 for each late payment, together with interest on any overdue Charge at ten per cent (10%) per annum accruing daily from the due date until payment, and Cinch reserves the right to notify any licensed credit bureau in Singapore (including but not limited to Experian Credit Bureau Singapore Pte. Ltd.) of such default in payment or late payment. We also reserve the right to suspend Your User Account and, subject to Section 15.1, to lock the Product until Your entire overdue amount, including all Charges, late payment fees and interest, is paid in full.

6.4 Credit Information. You hereby acknowledge and agree that Cinch may, from time to time, request from you or obtain your credit reports or your credit score from any licensed credit bureau in Singapore. You acknowledge that based on the results of your credit report or credit score, Cinch may, in its sole discretion, accept or refuse your payment method, depending on but not limited to your repayment history, credit behaviour, and status of the first payment under Your Rental Programme. You authorise Cinch to disclose any information regarding your User Account or payment history to any licensed credit bureau in Singapore, or any other entity accredited by the Monetary Authority of Singapore. You agree that Cinch has the right, in its sole discretion, to notify any licensed credit bureau in Singapore of your delay or inability to pay the Fees and any late payment fees.

6.5 Delinquent Accounts. Cinch may refer any overdue Charges, including the Replacement Value of any Product treated as not returned under Section 5.12, to a debt collections agency. You will be fully liable for any Fees and expenses related to the debt collection agency (inclusive of recovery administrative costs).

6.6 Legal Authorisation; Discrepancies. You agree that You will not use any credit card or other form of payment unless You have all necessary legal authorisation to do so. You agree to pay all fees and charges incurred in connection with Your purchases (including any applicable taxes) at the rates in effect when the charges were incurred. Unless You notify Cinch of any discrepancies within forty-five (45) days after they first appear on Your credit card statement, You agree that they are deemed accepted by You for all purposes.

6.7 Guarantee by Guarantor. Where a Guarantor is required by Cinch or provided by You, the Guarantor must execute a Guarantee in the form provided by Cinch, signed electronically by the Guarantor through a link sent to the Guarantor’s own verified email address or mobile number. No guarantee arises from information entered by You in Your User Account. Under the Guarantee the Guarantor absolutely, unconditionally and irrevocably guarantees to Cinch, as a primary obligor and not merely as a surety:

(i) the full and prompt payment of all Fees, sums and charges of every type and nature payable by You under these Terms, and

(ii) the full, timely and complete performance of all covenants, terms, conditions, obligations and agreements related to Your financial obligations under these Terms (all of the obligations described in clauses (i) and (ii), collectively, the “Obligations”). If a Default (as defined under Section 15 hereof) occurs under the Terms, Guarantor will, without notice or demand, promptly pay and perform all of the Obligations, and pay to Cinch, when and as due, all Fees payable by You under these Terms, together with all damages, costs and expenses to which Cinch is entitled pursuant to any or all of the Terms, the Guarantee, and applicable Laws. Guarantor agrees with Cinch that

(i) any action, suit or proceeding of any kind or nature whatsoever (an “Action”) commenced by Cinch against Guarantor to collect Fees, sums and charges due under the Terms for any month or months shall not prejudice in any way Cinch’s rights to collect any such amounts due for any subsequent month or months throughout the Term in any subsequent Action,

(ii) Cinch may, at its option, without prior notice or demand, join Guarantor in any Action against You in connection with or based upon either or both of the Terms and any of the Obligations,

(iii) Cinch may seek and obtain recovery against Guarantor in any independent Action against Guarantor without Cinch first asserting, prosecuting, or exhausting any remedy or claim against You under the Terms, and (iv) Guarantor will be conclusively bound by a judgment entered in any Action in favour of Cinch against You, as if Guarantor were a party to such Action, irrespective of whether or not Guarantor is entered as a party or participates in such Action. Any default or failure by the Guarantor to perform any of its Obligations under the Guarantee shall be deemed an immediate Default under the Terms. The Guarantee also authorises Cinch to charge any payment method the Guarantor has provided for the purposes of the Guarantee, until the Guarantor withdraws that authorisation in writing.

6.8 Bundles. Consolidated billing applies, payments must be made in full with no partial discharge, and device restrictions apply.

(a) Where You rent a Bundle, Cinch may issue one consolidated Invoice for the Bundle Fees. You must pay the Bundle Fees in full.

(b) Any partial payment of an Invoice relating to a Bundle, even if such amount is equal to or greater than the Fees attributable to one (1) or more Bundled Product(s), will not be considered as full payment for any such Bundled Product(s) and will not reduce, waive, or discharge Your payment obligations in respect of any Bundled Product(s) unless and until the full amount due under the relevant Invoice is paid in full. Cinch may apply and allocate any partial payment at its discretion (including against the oldest outstanding amounts).

(c) If any amount on an Invoice relating to a Bundle is overdue (including due to partial payment or non-payment), Cinch may, without prejudice to any other rights and remedies under these Terms, use any applicable Security Features (including MDM software) to restrict, lock, suspend, or otherwise limit functionality and/or access to any or all Bundled Product(s) until all overdue amounts (including any applicable late payment fees) are paid in full.

6.9 Upfront Payment. Where Cinch’s acceptance of Your order is conditional on an Upfront Payment:

(a) the offer presented to You, and Your Order Confirmation, state the Upfront Payment, the reduced monthly Fee for the Fixed Subscription, and the Pay-as-You-go rate that will apply under Section 5.6.1 after the Fixed Subscription ends, being the monthly Fee for the Product without the Upfront Payment;

(b) Your acceptance of the offer is Your agreement to these Terms as applied to the amounts stated in the offer, and authorises the charge of the Upfront Payment together with the first monthly Fee;

(c) the Upfront Payment is part-payment of the total Fees for the Fixed Subscription and is earned by Cinch on Your acceptance of the offer. It is not a deposit, is not held for You and is not applied to any later monthly Fee;

(d) the Upfront Payment is not refundable if the Rental Period is terminated before the end of the Fixed Subscription, except that it will be refunded in full if You cancel under Section 5.9.1, if Cinch does not deliver the Product, or if the Rental Period is ended under Section 5.13;

(e) if You terminate the Fixed Subscription early, the Upfront Payment is retained by Cinch in full, and the Early Termination Fee, where it is calculated by reference to remaining monthly Fees, is calculated by reference to the remaining monthly Fees stated in Your Order Confirmation and not by reference to the monthly Fee that would have applied without the Upfront Payment; and

(f) the total amount payable over the Fixed Subscription is the same whether or not an Upfront Payment is made, and Cinch does not represent that an Upfront Payment is a discount.

7. RESTRICTIONS ON USE

7.1 Account Limitation. You acknowledge and agree that Your User Account is for individual use only. You shall not disclose or share any ID(s) or password(s) used to access this Service and/or Your User Account, and You acknowledge You are responsible for all activity that occurs under Your ID(s) and password(s). You agree to notify Cinch in writing upon becoming aware of any unauthorised access or use of Your User Account by any unaffiliated party. During the Rental Period, You are prohibited from assigning the use of the Products to a third party without the prior written consent of Cinch; in particular, You may not sell, attempt to repair or repair, give away, rent or loan the Products. If you sell, give away, rent or loan the Products, you are liable to pay Cinch the Replacement Value. If you repair or attempt to repair, you are liable for any costs that Cinch may incur in bringing such Product to a working condition again. For commercial or business customers, the foregoing limitation may not apply; any custom order form between You and Cinch will control to the extent applicable.

7.2 Restrictions of Website and Account Use. In addition, You agree not to:

(i) Use or access the Site for any purpose that is unlawful or prohibited by these Terms, or display, transmit or otherwise make available on or through the Service material that is infringing, threatening, harassing, libellous, hateful, racially or ethnically objectionable, unlawful, tortious, harmful to children, invasive of another's privacy or violative of third-party privacy rights;

(ii) Reverse engineer, decompile, modify, or create derivative works from any software or materials accessible by or on the Service;

(iii) Frame or utilise framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Cinch without express written consent;

(iv) Make any commercial or non-fair Use of the copyrights, trademarks, logos, symbols, or any other mark, device, or commercial identifier of Cinch or any of Our third party licensors without the express written consent of Cinch;

(v) Use or access the Site in a manner that could damage, disable, overburden, or impair any Cinch server or the networks connected to any Cinch server;

(vi) Interfere with any third party's use and enjoyment of the Service;

(vii) Attempt to gain unauthorised access to the Service, accounts, computer systems, or networks connected to any Cinch server through hacking, password mining, or attempt to bypass any of Our security measures to access the Services, or placing unreasonably large loads on Our Services’ infrastructure;

(viii) Sublicense any licence granted in or to materials on the Service (whether or not any of such acts are for commercial gain or advantage);

(ix) Modify, copy, reproduce, republish, post, resell, upload, transmit or distribute any materials or content, or any portion thereof from or linked to the Service, except with the express written consent of Cinch or its third party licensors; and

(x) Access the Service in order to build a competitive product or service, or copy any features, functions or graphics of the Services.

(xi) Remove, disable, interfere with, or otherwise circumvent the Security Features, including any Mobile Device Management (MDM) software, installed on any Product provided by Cinch. Any attempt to do so constitutes a breach of these Terms and may result in immediate termination of your Rental Period and enforcement actions as described in Sections 5.9 and 15.

7.3 Restrictions on Product Use. You shall:

(i) have sole responsibility for the legal and appropriate Use of any Products You rent on the Site;

(ii) comply with all applicable laws (including but not limited to export laws, privacy and data protection laws) in Using the Product or the Service;

(iii) Use the Service solely in accordance with any online user guides or instructions for each Product as made available on or through Your User Account;

(iv) acknowledge and agree that Products rented through Cinch may include Security Features, including MDM software, which allow Cinch to manage and control certain functions of the Products as detailed in Sections 1.16 and 2.5; and

(v) cooperate with any security measures or actions taken by Cinch via Security Features (including MDM software) to protect against Unauthorised Use or any other breach of these Terms.

7.4 Security Features and Mobile Device Management (MDM) Software. The following terms and conditions apply to Your use of Product(s) that have Security Features, including Mobile Device Management (MDM) software installed:

Updates and Communications: You agree to receive and allow the installation of updates to the Security Features and/or MDM software and related services, which may be provided without prior notice and without specific consent. Such updates may include bug fixes, enhanced functions, new software modules, and entirely new versions. You agree to receive such updates (and permit Cinch or its service providers to deliver such updates to you) as part of the Services. Data consumption and additional data charges may result due to such updates.

Compliance with Instructions: You must comply with all instructions made available to You in connection with the Security Features and/or MDM software.

No Interference: You must not engage in any activity that causes interference with or disruption to the Security Features, MDM software, the Services or any servers or networks that are connected to the Services.

No Unauthorised Use: You must not reproduce, duplicate, copy, sell, trade or resell the MDM software or Services (or any part of them).

Responsibility for Breach: To the extent permitted by law, you are solely responsible for any breach of your obligations under the Terms and other applicable terms, conditions, and restrictions imposed by Third Party Providers, and for the consequences of any such breach, including any loss or damage which Cinch or any third party may suffer. Neither Cinch nor its licensors, service providers, or Third Party Partners will have any responsibility to you or to any third party in respect of such breach.

Passwords and account security: You are responsible for maintaining the confidentiality of your passwords for all accounts used by you to access the Services. You acknowledge and agree that you are solely responsible for all activities that occur under all such accounts. You must notify Cinch by email to support@cinch.sg immediately upon becoming aware of any unauthorised use of any of your passwords or User Accounts.

7.5 Damage and refurbishment. We expect that, other than normal wear and tear, You will return the Product(s) in the same condition in which You received it. If You damage the Product (accidentally or intentionally), You are responsible for the associated costs to refurbish it in accordance with Section 9 and, where a Tier or the Legacy Waiver applies, Schedule 1. For behaviour we reasonably believe to be criminally negligent, We also reserve the right to take any action against You that the law allows, including holding You liable for the value of the Product.

7.6 Accidents or Damage to Products Generally. You must report any significant damage, personal injury or crash (if applicable), or a stolen or lost Product (a “Damage Report”) to Us within forty-eight (48) hours of the accident or incident, or, in the event You are injured, as soon as reasonably practicable following the accident or incident, which must include a brief description of the circumstances and details. If You do not report damage within that period, no waiver under Schedule 1 applies to that damage. Please note you may be requested to return Your Product within a reasonable period of time following the submission of the Damage Report. If an incident involves personal injury or a stolen Product, You must also file a report with the relevant neighbourhood police post (in Singapore) within 24 hours of the incident (or, in the event You are injured, as soon as reasonably practicable following the incident).

7.7 Damage Fee Waiver Tiers. Cinch offers optional Tiers under which part or all of the Damage Charge that would otherwise be payable under Section 9 is waived, on the conditions set out in Schedule 1. The Tier applying to a Product, if any, is stated in Your Order Confirmation. If no Tier and no Legacy Waiver applies, You are liable for the full Damage Charge under Section 9. A Tier varies Your liability to Cinch for damage to Cinch’s own Product; it does not apply to loss or theft of a Product, and Cinch does not make cash payments under it. Any repair of a Product must be carried out by Cinch or its authorised repairer. A repair by any other person voids the Tier and the Legacy Waiver for that Product for the remainder of the Rental Period, and You are liable for the full cost of bringing the Product to working condition.

7.8 Prohibition Against Unauthorised Transfer. You shall not, directly or indirectly:

(i) Sell, attempt to sell, pawn, pledge, lend, or otherwise transfer or dispose of the Product to any third party without the prior written consent of Cinch;

(ii) Enter or otherwise deal with any electronics store, pawnshop, or similar establishment with the intent to or in an effort to sell or attempt to sell the Product; or

(iii) Permit or enable any third party to do any of the foregoing.

Any such action constitutes a breach of these Terms and may result in immediate termination of your Rental Period and enforcement actions as described in Sections 5.9 and 15.

8. INSURANCE (CORPORATE AND BUSINESS USERS)

8.1 This Section 8 applies to corporate and business Users only.

8.2 As a corporate or business User who enters into a contract with Cinch, You must procure and maintain at your organisation’s own expense, during, and for a period of two (2) years after the Order Confirmation, insurance in the amounts specified below.

(i) Insurance policies with insurers currently rated A VII or better by A.M. Best, and includes claims made anywhere in the world.

(ii) Commercial General Liability Insurance: $1M per occurrence; $2M in general aggregate

(iii) Excess Umbrella Liability Insurance: $4M per occurrence and annual aggregate.

(iv) Network Security and Privacy Liability Insurance: $2M per occurrence and annual aggregate.

(v) Technology E&O Liability Insurance: $2M per claim and in the annual aggregate.

9. DAMAGES AND LOSS OF THE PRODUCT

9.1 Damages. You are obligated to use the Products carefully, in order to minimise the damages that are to be expected. In the event of any damage or other deterioration of the Product during the Rental Period, you are obligated to inform Cinch immediately in writing of all details of the incident that has led to the damage or other deterioration of the Product. For the avoidance of doubt, Fees remain payable during any repair, refurbishment or replacement process in accordance with Section 6.1.1. In the case of damage to the Product, you will be liable for the Damage Charge, being:

(i) where the Product can be economically repaired, the cost of repair as assessed by Cinch, together with a logistics charge of S$25 for collection and return; or

(ii) where the Product cannot be economically repaired, the Replacement Value; in each case subject to any waiver under Schedule 1. The Damage Charge for any one event is never more than the Replacement Value at the date of the damage.

9.2 Waiver of Damage Charge. Where a Tier or the Legacy Waiver applies to the Product, the Damage Charge is reduced or waived to the extent, and on the conditions, set out in Schedule 1. Schedule 1 forms part of these Terms.

9.3 A waiver under Schedule 1 applies only if You report the damage in accordance with Section 7.6 and return the Product to Cinch or its authorised repairer when requested, and only within the number of service requests and the rolling period stated in Schedule 1 for the applicable Tier or the Legacy Waiver.

9.4 No waiver under Schedule 1 applies to the following events, for which You are liable for the full Damage Charge or, where the Product is not returned, the Replacement Value:

(i) Cases in which the device is no longer present: robbery, burglary, simple theft, leaving behind, forgetting, misplacing, etc.,

(ii) damage caused by liquid, except to the extent Schedule 1 states that liquid damage is included in a Tier, and

(iii) intentional damage, damage caused by a repair not carried out by Cinch or its authorised repairer, and a Product returned with an active account lock or activation lock.

9.5 No waiver under Schedule 1 applies where the Product is lost or stolen. In that case, You shall pay the Replacement Value. The rent for the month in which the loss was reported to Cinch shall be paid in full.

9.6 Prevention of damage and loss. As a condition of acceptance, You hereby agree that Cinch may implement any mobile device management software application in the Products for the purposes of device management and security (including but not limited to monitoring fraud and delinquency).

9.7 Notice before charging. Before charging any Damage Charge, Replacement Value or other amount that Cinch assesses under Sections 5.9.1, 5.11, 5.12 or 9 or under Schedule 1 (an “Assessed Charge”), Cinch will notify You in writing of the amount, how it was assessed, and the date on which it will be charged, which will be no earlier than five (5) Working Days after the notice. This Section does not apply to a Service Fee at the rate stated in Part B of Schedule 1 or in Your Order Confirmation that You pay when You request a repair, swap or replacement, which is payable at the time stated in Part A5.

9.8 Querying an Assessed Charge. You may query an Assessed Charge by notice to Cinch under Section 19.3 before the charge date, giving Your reasons. Cinch will respond in writing within ten (10) Working Days and will not charge the queried amount until it has done so. While a query is outstanding, no period for termination for non-payment of that amount runs under Section 5.9.2, and Fees continue in accordance with Section 6.1.1.

9.9 Authority to charge. Subject to Sections 9.7 and 9.8, You authorise Cinch and its payment processors to charge an Assessed Charge to any payment method authorised under Section 6.1. An Assessed Charge may be charged only in accordance with Sections 9.7 to 9.9, including where You are in Default.

9.10 Service Fees paid in advance. Where You have paid a Service Fee in advance and Cinch declines the service request, or no repair, swap or replacement is provided, Cinch will refund that fee within fourteen (14) days. Where the request falls outside the waiver and an Assessed Charge becomes payable instead, the Service Fee already paid is credited against it.

9.11 No double recovery. Nothing in Sections 9.7 to 9.10 entitles Cinch to recover more than the amount for which You are liable under these Terms, and any amount charged in excess is repayable on demand.

10. TRADE-IN PROGRAMME

10.1 Overview. Cinch may, from time to time, make available a trade-in service that allows You to trade in an eligible used device, such as a smartphone, tablet or smartwatch (each, a "Trade-in Device"), with a third-party trade-in service provider (a "Trade-in Partner") for a value determined by that Trade-in Partner (the "Trade-in Value"). This service is referred to as the "Trade-in Programme".

10.2 Cinch's role is referral only. Cinch's role in the Trade-in Programme is limited to introducing You to the Trade-in Partner and, where applicable, facilitating communication between You and the Trade-in Partner. Cinch is not a party to the trade-in transaction. The trade-in transaction is entered into directly between You and the Trade-in Partner. Cinch does not set, guarantee, underwrite or pay the Trade-in Value, and does not inspect, value, collect, or take ownership of any Trade-in Device.

10.3 The Trade-in Partner and Partner Terms. The identity of the Trade-in Partner, and its terms and conditions applicable to the trade-in transaction (the "Partner Terms"), will be made available to You at the point at which the trade-in offer is presented (for example, on the trade-in page, in the trade-in flow, or via a link to the Partner's website or app). By proceeding with a trade-in, You agree to the applicable Partner Terms directly with the Trade-in Partner. Cinch may change, add or remove Trade-in Partners at any time in its sole discretion.

10.4 Precedence. These Terms govern Your rental of Products and Your relationship with Cinch. The Partner Terms govern the trade-in transaction between You and the Trade-in Partner. In the event of any conflict or inconsistency regarding the trade-in transaction (including valuation, inspection, device collection, ownership transfer, payment, and data handling of the Trade-in Device), the Partner Terms shall prevail.

10.5 Trade-in Value and how it is provided. The Trade-in Value is determined solely by the Trade-in Partner and is an estimate only. The final Trade-in Value is subject to change following the Trade-in Partner's inspection and verification of the Trade-in Device's actual condition, in accordance with the Partner Terms. The Trade-in Value will be provided to You by the Trade-in Partner in the manner set out in the applicable offer and/or Partner Terms. Where an offer expressly states that the Trade-in Value (or part of it) is to be applied as a credit or adjustment to Your Cinch account or subscription, it will be applied only on the terms of, and subject to, that offer.

10.6 Eligibility. To participate, You must (a) be at least 18 years of age; and (b) be the legal owner of the Trade-in Device and have obtained it by lawful means. You must not trade in any lost, stolen, blacklisted or unlawfully obtained device. The Trade-in Partner may verify device identifiers (such as IMEI or serial number) and may report suspected lost, stolen or blacklisted devices, together with Your details, to the Singapore Police Force or other authorities, in accordance with the Partner Terms.

10.7 Personal data. To enable the Trade-in Programme, You consent to Cinch sharing relevant personal data (such as Your name, contact details and, where applicable, order information, device information (such as IMEI)) with the Trade-in Partner for the purpose of facilitating and processing the trade-in. Cinch's handling of Your Information is governed by the Cinch Privacy Policy; the Trade-in Partner's handling of Your personal data is governed by the Trade-in Partner's own privacy policy, made available with the Partner Terms. You are responsible for backing up and removing Your own data from the Trade-in Device before handing it over; data erasure by the Trade-in Partner is carried out under, and subject to, the Partner Terms.

10.8 No liability; no warranty. The Trade-in Programme is operated by the Trade-in Partner. Cinch makes no representation or warranty in respect of the Trade-in Partner, the Trade-in Value, or the trade-in transaction, and, to the maximum extent permitted by law, Cinch shall not be liable for any loss, damage (including indirect or consequential loss), personal injury, or dispute arising out of or in connection with the Trade-in Programme or the trade-in transaction (except for death or personal injury caused by Cinch's negligence, or any other liability which cannot be excluded by law), including any quotation, adjusted offer, deduction, collection, payment, ownership, or data-erasure matter. Any claim arising from the trade-in transaction is a matter solely between You and the Trade-in Partner.

11. LIMITED WARRANTIES; DISCLAIMERS

11.1 Your warranty. You hereby represent and warrant that

(a) You are at least 18 years of age;

(b) You have the authority to enter into these Terms, either on Your own behalf or on behalf of the corporate User who will be party to these Terms.

11.2 Guarantor’s warranty. Guarantor hereby represents and warrants that

(a) Guarantor is between 20 and 65 years of age,

(b) Guarantor has all requisite power and authority to enter into and perform its obligations under the Terms and its Guarantee,

(c) the Guarantee is valid and binding upon and enforceable against Guarantor without the requirement of further action or fulfilment of any condition,

(d) there is no action, suit or proceeding pending or, to the knowledge of Guarantor, threatened against or otherwise affecting Guarantor before any court or other governmental authority or any arbitrator that may materially adversely affect Guarantor’s ability to perform its obligations under the Guarantee.

11.3 Disclaimers. The Site is provided on an “as is” and “as available” basis. The performance of the Site and Services on an uninterrupted basis is not guaranteed and promised by Us. Although Cinch has used reasonable efforts to ensure that the description (including images) of the Products available to rent is accurate and up-to-date, such descriptions may be provided by the applicable Third Party Partner and may be only representative of the item available. THE DESCRIPTIONS OF THE PRODUCTS ARE PROVIDED “AS-IS” AND CINCH MAKES NO EXPRESS OR IMPLIED WARRANTIES INCLUDING OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, REPRESENTATIONS, OR GUARANTEES REGARDING THE DESCRIPTION PROVIDED. THE ACCURACY OR COMPLETENESS OF PRODUCT INFORMATION IS NOT GUARANTEED AND IS SUBJECT TO CHANGE WITHOUT NOTICE. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND SELECTING PRODUCTS AND DETERMINING WHETHER EACH PRODUCT IS FIT FOR A PARTICULAR PURPOSE AND SUITABLE FOR YOUR USE. PRODUCTS ARE NOT MANUFACTURED TO ANY INDIVIDUAL REQUIREMENTS OR SPECIFICATIONS. NO LICENCE UNDER ANY CINCH OR THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS IS GRANTED OR IMPLIED WITH THIS PRODUCT INFORMATION. YOUR SOLE REMEDY FOR A PRODUCT BEING MATERIALLY INACCURATELY DESCRIBED IS TO RETURN IT IN UNUSED CONDITION, COMPLETE AND UNDAMAGED, IN THE ORIGINAL PACKAGING, AND HAVE CINCH REPLACE THE PRODUCT. TO THE EXTENT PERMITTED BY LAW, CINCH EXCLUDES ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED.

12. LIMITATION OF LIABILITY

CINCH SHALL NOT BE LIABLE FOR ANY SPECIAL, PUNITIVE, EXEMPLARY, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST REVENUES OR LOST PROFITS, WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSSES AND BASED ON ANY THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SITE, SERVICES, OR ANY INFORMATION OR SERVICE ON A LINKED SITE. THE MAXIMUM LIABILITY OF CINCH FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID TO CINCH BY YOU IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY. Some jurisdictions do not allow the limitation or exclusion of certain implied warranties, liability, incidental or consequential damages, so certain provisions of these Terms may not apply to You. This section will survive termination of these Terms.

13. INDEMNIFICATION

You shall defend Us against any claims, actions, damages, penalties, fines, demands, losses, liabilities, costs and expenses, injuries or payments for injury to any person or property caused or claimed to be caused by You which is made or brought against Us by a third party arising out of

(i) Your use of the Products in breach of these Terms or applicable law (including any fines incurred),

(ii) Your breach or violation of any of these Terms (including Sections 7.1, 7.2 and 7.8) or any applicable law,

(iii) Your violation of the rights of any third party. Cinch reserves the right to assume the exclusive defence of any claims or lawsuits, and You agree not to settle any of the foregoing without Cinch’s prior written consent. You agree that the obligations in this Section will survive any termination of these Terms, Your User Account or Your access to Our Services generally,

(iv) Your unauthorised sale or other Unauthorised Use of the Product or any attempt to do any of the foregoing;

(v) any actions taken by Cinch or its Authorised Agents to recover the Product due to your breach or enforce against any unauthorised dealings of the Products.

14. ASSUMPTION OF RISK; WAIVER AND RELEASE OF CLAIMS

THIS SECTION CONTAINS A LEGAL RELEASE OF YOUR RIGHTS, INCLUDING: ASSUMPTION OF RISK AND WAIVER AND RELEASE OF LIABILITY AGAINST CINCH. YOU ARE FREE TO DECLINE OUR SERVICES/PRODUCTS IF YOU DO NOT WANT TO AGREE TO THE TERMS AS SET FORTH HEREIN.

14.1 You volunteer to use Our Services and Products with full knowledge of all RISKS and agree to the ASSUMPTION OF RISK AND WAIVER AND RELEASE OF CLAIMS; YOU DO NOT HAVE TO USE OUR PRODUCTS OR SERVICES. It is Your responsibility to use Our Services and Products safely. IN CONSIDERATION FOR USING OUR SERVICES/PRODUCTS, YOU, OR THE PERSON OR ENTITY ON BEHALF OF WHOM YOU ENTERED INTO THESE TERMS AGREE TO THE FOLLOWING:

TO ASSUME ALL RISKS: You acknowledge that

(a) there are risks associated with the use of Our Services/Products;

(b) the Products may be used by other people both before and after Your use of such Products;

(c) Your use of the Products may result in loss or damage to You or Your property. To the maximum extent permitted by law, You accept responsibility for any loss or damage You suffer as a result of Your use of the Products, other than death or personal injury caused by Cinch’s negligence or any other liability that cannot be excluded by law.

14.2 WAIVER AND RELEASE OF CLAIMS: To the maximum extent permitted by law, You, on behalf of Yourself, Your personal representatives and Your heirs, hereby EXPRESSLY AGREE TO WAIVE AND RELEASE CINCH FROM ANY AND ALL CLAIMS (INCLUDING THOSE IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTORY AND/OR ANY OTHER GROUNDS), INCLUDING WITHOUT LIMITATION CLAIMS FOR OR RELATING TO ANY ACCIDENT, PERSONAL INJURY, PROPERTY DAMAGE, DEATH OR DISABILITY THAT YOU MAY SUFFER AS A RESULT OF USING OUR SERVICES OR PRODUCTS. This waiver and release does not apply to death or personal injury caused by Cinch’s negligence, to fraud, or to any liability that cannot be excluded or limited by law.

14.3 If You have any questions concerning the terms of the Assumption of Risk or Waiver and Release of Claims, contact Us at support@cinch.sg.

15. DEFAULT; REMEDIES FOR DEFAULT.

15.1 Default. If any Charge is not paid within three (3) days after Cinch has notified You that it is overdue, Cinch may restrict or suspend the functionality of any Product on Your User Account through the Security Features until the overdue Charge is paid. Cinch will give You at least forty-eight (48) hours’ notice before restricting a Product, and a restricted Product will continue to allow emergency calls. If any Charge remains unpaid ninety (90) days after its due date, Your Rental Period terminates automatically under Section 5.9.2, the Product must be returned under Section 5.10, the Replacement Value becomes payable under Section 5.12 if it is not, and Cinch may refer the account for recovery under Section 6.5. You will be in “Default” under these Terms if:

I You do not pay any Charge within the period stated in this Section 15.1;

II You breach any term, covenant, representation, warranty, or other obligation in these Terms;

III You fail to timely activate the Service required under these Terms; or

IV You or We cancel/terminate the Service.

15.2 Remedies for Default. In the event of Default as permitted by applicable law, we may exercise the following:

I Restrict or suspend the functionality of the Product(s); where a Product is restricted or suspended, We or our Third Party Partner may restrict some or all of the following aspects of functionality:

a. native or installed calls, messages or applications; and

b. ability to override settings.

II. While the Product remains with You, use Security Features, including MDM software, to enforce restrictions on its use, and once a Product has been recovered by Cinch, use Security Features to erase data and remove passcodes, in each case as detailed in Section 1.16 or as otherwise enabled by the functions of the applicable Security Feature.

III. Recover or confiscate the Product(s) through Cinch or its Authorised Agents;

IV. Require You to return the Product under Section 5.10 and to pay all Charges accrued to the date of termination and, where the Product is not returned, the Replacement Value under Section 5.12. You authorise us to charge any payment method authorised under Section 6.1 to satisfy all amounts due.

V. Require You to pay us actual and reasonable costs of collection, including legal fees.

VI. Take possession of the Product and sell, lease, license, or dispose of the Product to satisfy any unpaid obligations.

VII. Require You to return the Product to Cinch within five (5) Working Days of Cinch’s written demand, without terminating Your Rental Period. Section 5.11 applies to the return, and a Product not returned within that period is treated as not returned, so that Section 5.12 applies. No Fees accrue for any period during which Cinch holds a Product returned under this Section, and Cinch will return the Product to You within five (5) Working Days after the overdue Charge is paid in full.

15.3 If You have any questions or issues concerning the Security Features, terms of Default or Remedies for Default, or if any Product(s) on Your User Account is restricted without valid reasons, contact Us at support@cinch.sg.

16. GOVERNING LAW; DISPUTE RESOLUTION

16.1 These Terms, and all claims or causes of action (whether in contract, tort or statute) that may be based upon, arise out of or relate to these Terms or the negotiation, execution or performance of these Terms (including any claim or cause of action based upon, arising out of or related to any representation or warranty made in or in connection with these Terms or as an inducement to enter into these Terms), shall be governed by, and enforced in accordance with, the laws of Singapore, without regard to any conflict of law provisions.

16.2 Any dispute arising out of or in connection with these Terms is subject to the non-exclusive jurisdiction of the courts of Singapore. Nothing in this Section affects any right You have under the Consumer Protection (Fair Trading) Act 2003 or any other law that cannot be excluded by agreement. Cinch may bring proceedings in the courts of Singapore to recover any Charge that is due or any Product that has not been returned.

17. INJUNCTIVE RELIEF

You acknowledge and agree that any violation of the Terms relating to the disclosure, use, copying, distribution, display or publishing of the content made available through the Service, including for the sake of clarity, information provided in Your User Account, by Cinch or by third-party licensors, including, if applicable, any software licensed hereunder, may result in irreparable injury and damage to Cinch or its licensors that may not be adequately compensable in money damages, and for which Cinch will have no adequate remedy at law. You acknowledge and agree that Cinch may pursue injunctive or other equitable relief at any time from a court of competent jurisdiction without the need to post a bond or other security.

18. TERM; TERMINATION

These Terms become effective from the earliest of the date You accept these Terms, your creation of a User Account, or Your use of this Site in any way, and continue until terminated by either of us in the following ways. You may terminate Your use of the Site without cause at any time upon written notice to Us; however, Your obligations will exist for the duration of Your Rental Period and all outstanding payment obligations derived from Your Rental Period will remain due and payable. All sections that must survive to fulfil their essential purpose shall survive any termination or expiration of these Terms. Without limitation, Sections 5.10 to 5.13, 6, 9, 12, 13, 14, 15, 16 and 19 survive termination or expiry of these Terms and of any Rental Period.

19. MISCELLANEOUS

19.1 You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your User Account, in any way (by operation of law or otherwise) without Our prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations hereunder, including our rights in the Products and any Charges payable to Us, without consent. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms shall be deemed invalid, void, or for any reason unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. You and Cinch agree that these Terms are the complete and exclusive statement of the mutual understanding between You and Cinch, and that they supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms.

19.2 Acknowledgement of Authorised Agents. You acknowledge and agree that:

Cinch may register the IMEI or serial number of the Products with loss and theft databases to prevent Unauthorised Use;

Cinch may engage Authorised Agents to act on its behalf for the purposes of recovering Products in the event of your breach of these Terms or otherwise enforcing against any unauthorised dealings of the Products.

You authorise Cinch and its Authorised Agents to take possession of any Product from You where Cinch is entitled to recover it under these Terms. Cinch will pursue the recovery of a Product from any third party by lawful means.

You consent to Cinch sharing necessary information, including IMEI numbers and device details, with Authorised Agents to facilitate the recovery of Products or to otherwise act on behalf of Cinch to enforce against any unauthorised dealings of the Products.

19.3 Notices. Cinch may give any notice under these Terms by email to the address in Your User Account, by message in Your User Account or the Cinch app, or by SMS or WhatsApp to the number in Your User Account, and a notice so given is treated as received when sent. You must give notice to Cinch by email to support@cinch.sg, and a notice so given is treated as received on the next Working Day. The email address in Your User Account is Your designated electronic address for notices under these Terms, and You must keep it current; the address stated above is Cinch’s designated electronic address.

19.4 Set-off. Cinch may set off any amount it owes You against any Charges You owe Cinch. You must pay all Charges in full without set-off or deduction.

19.5 Events Outside Cinch’s Control. Cinch is not liable for any delay or failure in performing its obligations caused by an event outside its reasonable control, including failure of a supplier, courier or Third Party Partner. This does not affect Your obligation to pay Charges.

20. CHANGES TO THESE TERMS

20.1 Cinch may change these Terms, including Schedule 1, by notifying You by email or in Your User Account at least thirty (30) days before the change takes effect, identifying what has changed. Posting a revised version on the Site is not by itself notice.

20.2 A change takes effect for a Pay-as-You-go Rental Period on the first monthly billing date after the notice period ends, and for a Fixed Subscription at the start of the next Rental Period after that date.

20.3 If a change is adverse to You, You may end the Rental Period before it takes effect without paying an Early Termination Fee.

20.4 Each Rental Period is subject to the version of these Terms in force at its Order Confirmation, as changed under this Section 20. Cinch keeps a dated record of each version and will provide the applicable version on request.

SCHEDULE 1: DAMAGE FEE WAIVER TIERS

This Schedule forms part of the Terms. Capitalised terms have the meanings given in the Terms. In this Schedule, “waiver” means a reduction of the Damage Charge that You would otherwise be liable to pay Cinch under Section 9.1 for damage to a Product that Cinch owns.

Part A: Conditions applying to every Tier and to the Legacy Waiver

A1. What a Tier provides. A Tier reduces or waives the Damage Charge for accidental damage to the Product occurring during the Rental Period, to the extent stated for that Tier in Part B, and entitles You to the services stated for that Tier. Cinch provides repair, swap or replacement of the Product in kind. Cinch does not make any cash payment under a Tier, and a Tier does not apply to loss or theft of a Product, for which Section 9.5 applies.

A2. Selecting a Tier. You select a Tier, or Core with no Tier, when You place Your order, and that election applies to every Product under the Order Confirmation. The Tier applies from the start of the Rental Period and cannot be added, changed or removed during a Fixed Subscription, except on an early upgrade under Part C.

A3. Term of a Tier and Tier Fee. A Tier applies to the Product or, for a Bundle, to every Bundled Product under the same Order Confirmation. For a Fixed Subscription, the Tier runs for the term of the Fixed Subscription and the Tier Fee is payable monthly with the Fees for the whole of that term; the Tier cannot be changed or cancelled during the term, and is not reinstated after cancellation. For a Pay-as-You-go Rental Period, the Tier continues monthly and either party may end it on thirty (30) days’ notice. The Tier Fee is stated in Your Order Confirmation. For foldable Products, the Cinch Plus Tier is included in the Fees and is a term of the rental: it cannot be declined or cancelled separately from the Rental Period, Core is not available, and the Cinch Max Tier is available at the Tier Fee stated in Your Order Confirmation.

A3A. Bundles. For a Bundle, the waived service requests and the replacement under Part A9 are shared across all Bundled Products: a service request for any Bundled Product uses the entitlement for every Bundled Product for the rest of the rolling period, and a replacement for any Bundled Product uses the replacement for every Bundled Product for the rest of the Rental Period. Before approving a service request or replacement for a Bundled Product, Cinch will tell You that it uses the entitlement for the whole Bundle and, for a replacement, that no further replacement is available for any Bundled Product for the rest of the Rental Period. Service Fees are the same for every Bundled Product; the replacement Service Fee is based on the price band of the Bundled Product being replaced.

A4. Good standing. You may make a service request, and a waiver applies, only while no Charge under Your Rental Period for the Product is overdue and the Rental Period is not suspended. The Tier Fee continues to accrue during any period in which a Charge is overdue. The Tier ends automatically if the Rental Period is terminated under Section 5.9.2, and no Tier Fee is refunded.

A5. Service requests. You request a repair, swap or replacement through Your User Account or by contacting Cinch. Cinch will assess the Product and decide whether it is repaired, swapped or replaced. Assessment is made on the condition of the Product; the applicable Tier, Service Fee and waiver are then applied by Cinch. Each Tier includes the number of waived service requests in the rolling period stated in Part B, counted from the date of Your last approved request. For each waived service request You pay the Service Fee stated in Part B in place of the Damage Charge. Once that number is used, You may continue to request service during that period, and the full Damage Charge is payable for each further request in place of the Service Fee. A repair Service Fee is payable when You submit the request, and a swap or replacement Service Fee before the substituted Product is dispatched; Section 9.10 applies to any Service Fee paid in advance.

A6. Swap and replacement. Where Cinch swaps or replaces a Product, Cinch will provide a Product of the same model and of the same or greater storage capacity or, where that model is not available, a Product of comparable or better specification and value, in any colour, new or refurbished, without retail packaging or accessories. The Service Fee for a swap or replacement is the amount stated in Part B for Your Tier and, for a replacement, for the Product’s price band; Part A5 states when it is payable. You may decline a Product of a different model, in which case Cinch will repair the damaged Product instead where it can be economically repaired. The substituted Product becomes the Product under Your Order Confirmation for all purposes: the Rental Period, the Fees, the Tier, the count of service requests and the maximum Replacement Value (which continues to reduce as if the substituted Product had been delivered at the start of the Rental Period) all continue, without a new Order Confirmation or a new Rental Period, whatever order or reference number Cinch assigns to the substitution in its systems. You must confirm that Your data has been backed up before Cinch approves a swap or replacement; Cinch does not transfer data and is not responsible for any data on either Product, including data on the damaged Product once Cinch erases it. Cinch delivers the substituted Product and collects the damaged Product at the same time, and You must hand over the damaged Product at delivery. Cinch may, at its discretion, allow You to keep the damaged Product for a period stated in writing, in which case You must return it by the end of that period using the collection arranged by Cinch. If the damaged Product is not handed over at delivery or, where a period is allowed, is not returned by the end of it, it is treated as not returned, Section 5.12 applies to it, and Cinch may restrict it under Section 15 after giving You notice. Cinch will erase data on any Product it recovers. Cinch delivers a swap or replacement Product within mainland Singapore on the next Working Day after the request is approved, where it is approved before the cut-off time published by Cinch, subject to stock availability and to Section 19.5.

A7. Exclusions. No waiver applies, and the full Damage Charge or, where the Product is not returned, the Replacement Value is payable, in the case of: (a) loss or theft of the Product; (b) intentional damage; (c) damage caused by a repair not carried out by Cinch or its authorised repairer; (d) a Product returned with an active account lock or activation lock; (e) damage not reported in accordance with Section 7.6; (f) damage to accessories; (g) cosmetic damage that does not affect the function of the Product within Grades A and B of Cinch’s published grading guide; and (h) liquid damage, except to the extent Part B states that liquid damage is included in a Tier.

A8. Cinch’s workmanship. A defect in a repair, swap or replacement carried out by Cinch that appears within thirty (30) days is remedied by Cinch at no charge, does not use a service request and does not attract a Service Fee.

A9. Replacement of a Product beyond economic repair. Where Cinch determines that a Product under the Cinch Max Tier is beyond economic repair, Cinch will replace it under Part A6 and You pay the replacement Service Fee for the Product’s price band, being the amount stated for that band in Part B, in place of the Damage Charge and the Replacement Value. One replacement is available per Rental Period; it does not use a waived service request, and the Rental Period continues to its original end date. Cinch will notify You of the replacement Service Fee before You accept the replacement. You may decline the replacement, in which case the waiver does not apply to that request and Section 9 applies to the damaged Product. The fee is payable before the replacement Product is dispatched, and the damaged Product must be returned under Part A6.

A10. Repairs by others. Any repair by a person other than Cinch or its authorised repairer voids the Tier and the Legacy Waiver for that Product for the remainder of the Rental Period, in addition to the consequences in Section 7.1.

A11. Changes to Tiers. Cinch may change the Tiers, the Tier Fees and this Schedule for future orders at any time, and for existing Rental Periods only in accordance with Section 20. Member benefits described in Part B (partner offers and loyalty benefits) are provided as published by Cinch from time to time and may be changed or withdrawn without the notice required by Section 20; the waiver and service entitlements in Part B may be changed for an existing Rental Period only under Section 20.

Part B1: Tier Fees

The monthly Tier Fee, inclusive of GST, is: for a standard smartphone, Core nil, Cinch Plus S$4.99 and Cinch Max S$12.99; for a foldable smartphone, Cinch Plus S$8.99, which is included in the Fees under Part A3, and Cinch Max S$17.99; for any other Product, Core nil and Cinch Plus S$4.99, Cinch Max not being offered. For a Bundle, the Tier Fee for the smartphone in the Bundle applies to the Bundle. Where a step up from Cinch Plus to Cinch Max is offered, the additional monthly Tier Fee is S$8.00 for a standard smartphone and S$9.00 for a foldable smartphone. Where Your Order Confirmation states a different Tier Fee, Your Order Confirmation prevails.

Part B2: Service Fees

The Service Fee for each approved service request, inclusive of GST and including collection and return, is: for a repair, under Cinch Plus S$75 for a standard smartphone, S$150 for a foldable smartphone and the amount stated in Part B4 for any other Product, and under Cinch Max S$25 for a standard smartphone and S$50 for a foldable smartphone; for a swap, available under Cinch Max only, S$125 for a standard smartphone and S$250 for a foldable smartphone. Under Core there is no Service Fee and the Damage Charge under Section 9.1 applies, being the cost of repair together with the logistics charge of S$25. A swap Service Fee replaces the repair Service Fee for that request; if the returned Product is found to be beyond economic repair, the replacement Service Fee under Part B3 applies and the swap Service Fee paid is credited against it. A further request within the rolling period stated in Part B is charged at the full Damage Charge.

Part B3: Replacement Service Fee bands (Cinch Max)

The replacement Service Fee under Part A9 is banded on the recommended retail price of the replaced Product at the date of the Order Confirmation, inclusive of GST: for a standard smartphone, S$150 where the recommended retail price is up to S$599; S$250 from S$600 to S$999; S$320 from S$1,000 to S$1,499; S$450 from S$1,500 to S$1,999; S$600 at S$2,000 and above; for a foldable smartphone, S$700 up to S$2,399; S$850 at S$2,400 and above; for a Bundled accessory, S$60 up to S$300; S$120 at S$301 and above. The band that applies to Your Product is stated in Your Order Confirmation. One replacement is available per Rental Period and, for a Bundle, one across all Bundled Products.

Part B4: Cinch Plus repair Service Fee for other Products

For a Product other than a smartphone, the Cinch Plus repair Service Fee, inclusive of GST, is: for an iPad, S$75 for battery service and S$150 for all other damage; for a Galaxy Tab, S$75 for the screen, back cover, rear camera, battery or charging and S$150 for other damage; for a MacBook, S$150 for the screen, keyboard or trackpad, battery or charging, or housing or hinge, and S$300 for other damage; for a Windows or other laptop, S$150 for the same four categories and S$300 for other damage; for headphones, S$40 for all damage; for a games console, S$60 for all damage. Cinch determines the damage category on inspection; a fee quoted when the request is made assumes the standard category and is provisional until the Product has been assessed.

Part C: Early upgrade (Cinch Max only)

C1. Early upgrade. If Your Product is under the Cinch Max Tier, You may, once during the final six (6) months of a Fixed Subscription and while no Charge is overdue, end the Rental Period without an Early Termination Fee by entering into a new Fixed Subscription for a new Product under a new Order Confirmation at Cinch’s prices at that time. For a Bundle, the Rental Period ends for the whole Bundle and every Bundled Product must be returned. You must return the current Product within five (5) Working Days of delivery of the new Product; it is assessed on return and Section 9 applies to any damage. No minimum term applies to the new Fixed Subscription other than the term You select. Any Upfront Payment applies only to the Fixed Subscription for which it was paid and is not refunded or carried across to the new Fixed Subscription.

Part D: Legacy Waiver for existing subscribers

D1. Who it applies to. The Legacy Waiver applies to each Product under an Order Confirmation issued before 1 October 2026 to which Cinch Damage Protection under the previous version of the Terms applied. It is not available for any other Product, cannot be selected or added, and is not transferable to another Product or subscription.

D2. What it provides. For damage to the Product beyond normal wear and tear, including technical defects, cracked displays and heavy or unusual wear and tear, the Damage Charge for repairable damage, including the logistics charge under Section 9.1(i), is reduced to ten per cent (10%) of the cost of repair. No Tier Fee or Service Fee is payable. The waiver applies to one service request in any rolling period of six (6) months. Part A applies to the Legacy Waiver except A2, A3, A9 and Part C, and except that A5 applies without a Service Fee.

D3. Exclusions. The exclusions in Part A7 and Section 9.4 apply, including loss, theft, liquid damage and intentional damage. A repair by a person other than Cinch or its authorised repairer voids the Legacy Waiver for the remainder of the Rental Period.

D4. How long it lasts. The Legacy Waiver continues for the remainder of the Fixed Subscription current at 1 October 2026 and for any Pay-as-You-go Rental Period into which that Fixed Subscription is converted under Section 5.6.1, until that Rental Period ends or is terminated in accordance with the Terms. It ends when You enter into a new Fixed Subscription for the Product or for a replacement Product, at which point You may select a Tier under Part B.

D5. Administration. Cinch may administer the Legacy Waiver through the same systems as the Tiers, provided that the terms in this Part D are applied without reduction.

SCHEDULE 2: TERMS OF SALE FOR A PURCHASE UNDER SECTION 5.8

This Schedule forms part of the Terms and applies to a sale of a Product to You following a Purchase Request under Section 5.8. Capitalised terms have the meanings given in the Terms. Sections 1, 16, 17 and 19 of the Terms apply to the sale; the other Sections and Schedule 1 do not.

S1. The sale. Cinch sells You the Product identified in the quote, in its condition at the date of the quote as recorded by Cinch, for the quoted purchase price. The purchase price is inclusive of GST.

S2. Payment and title. The purchase price is payable in full within the quote period stated in Section 5.8, as a separate payment; Fees paid under the Terms are not applied towards it. Title to and risk in the Product pass to You when Cinch receives the purchase price in full. Until then the Product remains a rented Product under the Terms.

S3. End of the rental. When title passes, the Rental Period for the Product ends. Fees are payable to the date on which title passes, and any Fees paid for a later period are refunded pro rata. No further Charges accrue for the Product after that date other than Charges already due.

S4. Condition. The Product is sold as a used item, with the wear consistent with its age and the condition grade last recorded by Cinch before the Product was delivered to You, allowing for use since then; Cinch does not inspect the Product before the sale. Cinch warrants that it owns the Product, that it has the right to sell it and that it is free of any security interest at the time title passes. Any remaining manufacturer’s warranty passes to You to the extent the manufacturer permits. Nothing in this Schedule excludes any right You have under the Consumer Protection (Fair Trading) Act 2003 or the Sale of Goods Act 1979 that cannot be excluded by agreement.

S5. Security Features and data. Within fourteen (14) days after Cinch receives the purchase price in cleared funds, Cinch will remove the Security Features and any MDM enrolment from the Product and release any lock that Cinch controls. Cinch does not access, transfer or delete Your data as part of the sale.

S6. No return. The sale is final. The Product cannot be returned or exchanged after title passes, except where the law provides otherwise.

S7. Invoice. Cinch will issue a tax invoice for the sale to the email address in Your User Account.
